Jane Schwarzinger trading as School Policy Hub (ABN 44 650 731 262) is the provider of these services. Jane Schwarzinger is the primary contact for all matters related to this agreement, which is effective from 1 April 2026.
Section 1. Definitions and Interpretation
In these Terms and Conditions, the following terms have the following meanings:
"Client" (or "You", "Your") means the individual, school, educational institution, or legal entity entering into this agreement by accessing our website, purchasing a template or product, engaging our advisory services, or maintaining a membership. Where an individual completes a purchase or engagement on behalf of an institution, that individual warrants they have express legal authority to bind the named school or purchasing entity.
"Materials" means all digital templates, policy frameworks, Step by Step Registration Guides, advisory briefs, checklists, forms, downloads, documentation, and website content authored, published, or supplied by School Policy Hub, whether provided in editable or fixed digital formats.
"Derivative Work" means any document, policy, procedure, guideline, handbook, toolkit, or resource that incorporates, adapts, modifies, paraphrases, summarises, rephrases, or is substantially derived from the Materials, their structural workflows, or their underlying expressive logic.
"Internal Operational Use" means the internal administrative, governance, and regulatory compliance operations of a single, specific school campus or individual educational institution nominated at checkout or within a Letter of Engagement. It strictly excludes sharing, deploying, or utilising the Materials across multiple campuses, an overarching school system, an association of schools, or any affiliated third party.
"Prohibited Entity" means any peak industry body, school association, education sector representative organisation, consultancy firm, commercial vendor, or third-party service provider that represents, advises, trains, or distributes resources to multiple educational institutions.
"Unauthorised Distribution" includes, but is not limited to: reselling, sub-licensing, circulating, emailing, uploading to public forums, hosting on member portals, sharing via multi-campus shared drives or intranets accessible outside the single campus, or using the Materials (or any Derivative Work) to advise, train, or supply other schools, members, or commercial clients.
Section 2. Agreement Overview & Business Structure
By accessing our website, purchasing a template, engaging our advisory services, or registering for a membership, the Client agrees to be bound by these Terms and Conditions. These terms apply to all users of our services, including active members and non-members.
The Client acknowledges that School Policy Hub is operated as a specialised part-time sole trader business alongside primary external professional commitments. Primary phone support, live advisory sessions, and direct consultations are conducted outside standard core business hours or via scheduled appointments. Email inquiries sent during standard workday hours are monitored and addressed during non-core hours or dedicated evening windows. Part-time operation does not entitle the Client to immediate real time support during standard business hours, nor does it constitute a breach of service delivery timelines unless explicitly agreed upon in writing within a formal Letter of Engagement.
Section 3. Usage Restrictions, Licencing & Anti-Derivation
All Materials provided by School Policy Hub are protected by Australian copyright and intellectual property laws. Upon purchase or through an active membership, the Client is granted a non-exclusive, non-transferable, revocable licence for Internal Operational Use only.
The resale, sub-licensing, distribution, commercial exploitation, or external reproduction of any Materials or Derivative Works is strictly prohibited. Materials are licensed exclusively for the internal operational use of a single educational campus or institution. You must not share, post on public or member forums, or provide access to these files, including the Step by Step Registration Guides, to any third party, non-member, school association, peak industry body, consultancy firm, or affiliated entity without prior written consent from School Policy Hub.
Prohibited Entities including industry associations, peak bodies, school governing systems, and commercial consultants are strictly prohibited from purchasing, downloading, adapting, creating Derivative Works from, or distributing these Materials to their member schools, networks, or clients without an explicit, negotiated written enterprise licence agreement.
The Client acknowledges that all digital files contain unique embedded security features, stylistic drafting fingerprints, and metadata designed to track and prevent unauthorised distribution. Any misuse, unauthorised sharing, or attempt to circumvent these features will result in the immediate termination of service and membership without refund, as well as urgent legal action for copyright infringement, breach of contract, and damages.
The Client agrees to indemnify and hold harmless the Provider against any and all losses, damages, liabilities, claims, expenses, and reasonable legal costs (on a full indemnity / lawyer-client basis) arising directly or indirectly from the Client’s unauthorised sharing, resale, sub-licensing, reproduction, adaptation, creation of Derivative Works, or distribution of the Materials.
Section 4. Provider Rights
School Policy Hub reserves the right to modify, update, or withdraw any content, templates, or services at its absolute discretion at any time and without prior notice. We reserve the right to refuse service, terminate accounts, or remove access to any user for any reason at our sole discretion, including breach of these Terms or suspected unauthorised distribution. School Policy Hub may amend or update these Terms and Conditions at any time, and continued use of the services constitutes acceptance of the revised Terms.
Section 5. Membership Subscription & Discontinuation
Active members receive a specific discount off standard hourly rates for custom work, full access to the Members Policy Template Library, and professional general advice around policy governance and legislation.
New membership subscriptions have been permanently discontinued as of July 2026. Clients with an active, paid membership agreement established prior to July 2026 will continue to receive all contracted membership benefits, template access, and discounted advisory rates for the remainder of their current yearly contract term. Memberships will no longer automatically renew at the expiry of the Client's current active term. Upon contract completion, account access will transition to standard non-member status, and services or template purchases will be available via the individual storefront at standard non-member rates.
In accordance with Australian Consumer Law, we do not offer pro-rata refunds for change of mind or early cancellation during an active yearly term. While we provide professional general advice to active members, School Policy Hub does not guarantee that any policy review or board advisory services will ensure a successful school registration or regulatory audit outcome.
Section 6. Template Shop / Store (Digital Products)
Non-members may access individual products through our digital storefront, whereas active members will access the same templates through the member storefront for the duration of their remaining term. All template purchases are delivered as digital files to your nominated email address immediately following successful payment, or can be immediately downloaded if the client holds an active membership. Due to the digital nature of these products, all sales from the Template Shop are final and non-refundable, subject to your statutory rights under Australian Consumer Law regarding faulty digital files.
All templates and Materials are designed to provide a solid operational framework and baseline so that schools do not have to start writing policies from scratch. They are foundational frameworks rather than a 100% fool proof, turnkey, or plug and play solution. The template library serves as a general base catalogue covering core regulatory and operational topics, but School Policy Hub does not warrant that the catalogue contains a template for every specialised or custom operational need your school may have. It is a strict condition of purchase and use that the Client will review, edit, adapt, and customise all Materials to suit their specific school context, values, staffing structure, and operational practices.
If you do not receive your digital download link within 24 hours of purchase, it is the Client's responsibility to contact us at [email protected] so we can manually re-verify and deliver the files. Delivery delays do not entitle the Client to a refund.
Section 7. Fees, GST, and Taxes
All prices quoted on our website or in custom quotes are in Australian Dollars (AUD). School Policy Hub is not currently registered for Goods and Services Tax, and GST is not added to our services or template purchases. In the event that School Policy Hub becomes registered for GST under Australian tax law, GST will automatically be added at the statutory rate of 10% to all quoted fees, rates, invoices, and website purchases from the effective date of registration.
Payments made via electronic funds transfer or direct bank deposit incur no additional transaction fees. For payments processed via credit card or online payment gateways, a processing fee reflecting our exact cost of card acceptance will be applied at checkout or added to the online payment link.
Section 8. Professional Services, Scopes, and Rates
Professional services are billed based on time and specific expertise across three defined service scopes, and rates are structured based on the Client's membership status at the time the work is performed:
Scope A: Covers Policy Customisation & Review Services at $150 per hour plus GST (when applicable).
Scope B: Covers External School Board Advisor Services strictly encompassing board meeting attendance and guidance, industrial relations or workplace award advice, and legislative or project briefing at $90 per hour plus GST (when applicable).
Scope C: Covers Registration Review External Advisor Services strictly encompassing registration cycle checks, registration compliance readiness support, paperwork and registration application reviews, and policy-to-standards compliance alignment checking at $90 per hour plus GST (when applicable).
Rates are charged in full hourly blocks, and any part of an hour worked will be rounded up to the nearest hour. Billable work commences only after a Quote, Invoice, or Letter of Engagement is accepted in writing and an upfront payment for two hours of service is received. Invoices for balance hours are strictly payable within 14 days of the invoice date, and School Policy Hub reserves the right to suspend all services and revoke access to materials if an invoice remains unpaid past its due date.
The Client must provide at least 24 hours' notice to cancel or reschedule a scheduled board meeting attendance or advisory session. Cancellations made with less than 24 hours' notice may incur a cancellation fee equivalent to 1 hour of service. Either party may terminate a custom service engagement by providing 14 days' written notice, upon which the Client will be invoiced for all hours worked up to the date of termination. The Client agrees to reimburse the Provider for all reasonable travel, parking, accommodation, and out-of-pocket expenses incurred in the delivery of on-site services, subject to prior approval or a standard per-kilometre rate.
Section 9. Professional Disclaimers and Regulatory Responsibilities
All advice, templates, Step by Step Registration Guides, drafted materials, and advisory services provided across all scopes are for operational, commercial, and professional guidance only and do not constitute formal legal advice or legal practice. No lawyer-client relationship is created under this agreement, and we reserve the right to refer the Client to external independent legal practitioners for matters requiring formal legal counsel or legal opinions.
While School Policy Hub makes every effort to ensure that the Materials, guides, and advisory insights are accurate, current, and aligned with relevant regulatory standards at the time of delivery, regulations change frequently. The Client explicitly acknowledges that all templates and guides are designed to serve as a baseline framework and are not an exhaustive solution. School Policy Hub does not warrant or guarantee that the services or Materials are completely error free, exhaustive, or fully compliant with the School Education Act 1999 (WA), the Registration Standards for Non-Government Schools (WA), or any other current statutory framework.
School Policy Hub provides tools, templates, guides, reviews, and advisory services to support the Client, but we provide no guarantees regarding final regulatory or financial outcomes. We do not guarantee, warrant, or represent that our services will result in a school successfully passing its school registration process, audit, or review, nor do we guarantee that paperwork or submission checking will capture every subjective requirement of regulatory assessors. Success is dependent on factors entirely outside our control, including the Client's internal operational practices and regulatory assessor discretion.
The Provider provides advisory services to multiple schools within the Western Australian education sector. While the Provider treats all Client information with strict confidentiality, the Client acknowledges that the provision of services to other educational institutions does not, of itself, constitute a conflict of interest.
The final responsibility for reviewing, verifying, adapting, and ensuring the absolute accuracy, legality, regulatory compliance, implementation, and submission of any policy, document, submission, or board structure rests solely and exclusively with the school’s Principal and Governing Board. The Client warrants that any background documents or operational information supplied to the Provider for review do not infringe the intellectual property rights of any third party.
Section 10. Technology and Intellectual Property
We may utilise artificial intelligence tools for research and preliminary drafting; however, all final deliverables are reviewed and verified by a human consultant. Final custom documents created specifically for the Client become the property of the Client only upon payment of all fees and applicable taxes in full. The Provider retains ownership of all underlying templates, tools, and methodologies, and retains the right to use redacted and anonymised versions of materials to develop future general resources.
Section 11. Privacy and Confidentiality
We adhere to the Privacy Act 1988 (Cth) and handle all data in strict compliance with the Australian Privacy Principles. Both parties agree to keep all non-public operational, governance, and commercial information strictly confidential.
Section 12. Dispute Resolution and Limitation of Liability
If a dispute arises out of or relates to this agreement, both parties agree to attempt good faith negotiation for at least 30 days before initiating court proceedings. Nothing in this clause prevents either party from seeking urgent interlocutory or injunctive relief from a court of competent jurisdiction to restrain unauthorised use, reproduction, adaptation, or distribution of intellectual property or confidential information.
To the maximum extent permitted by law, School Policy Hub will not be liable for any direct, indirect, incidental, or consequential loss, damage, financial losses, or regulatory penalties arising out of or in connection with errors, omissions, inaccuracies, non-compliance, or the ultimate failure of a registration or governance structure. The Provider’s total aggregate liability for any claim under this agreement is strictly limited to the total fees (excluding GST) paid by the Client to the Provider in the 12 months preceding the claim.
Nothing in this agreement limits, caps, or excludes the Client’s liability to the Provider for copyright infringement, breach of Section 1 or Section 3 (Usage Restrictions, Licencing & Anti-Derivation), or under the indemnity provided in Section 3.
Section 13. Relationship and Governing Law
We act strictly as an independent contractor. This agreement is governed by and construed in accordance with the laws of Western Australia. Each party irrevocably submits to the non-exclusive jurisdiction of the courts of Western Australia and the courts of the Commonwealth of Australia (including the Federal Court of Australia and the Federal Circuit and Family Court of Australia), and any courts entitled to hear appeals from those courts.
Section 14. Acceptance
Completion of a website checkout, manual tick box confirmation, written acceptance, or payment of a Quote, Invoice, or Letter of Engagement constitutes formal and legally binding agreement to these Terms and Conditions.
Section 15. Severability
If any provision or part of a provision of these Terms and Conditions is found by a court of competent jurisdiction to be void, invalid, illegal, or unenforceable, that provision or part provision will be severed from the agreement, and the remaining terms will continue in full force and effect.
Section 16. Unexpected Events (Force Majeure)
Neither party will be liable for any delay or failure to perform its obligations under this agreement if the delay or failure is caused by an unexpected event beyond its reasonable control, including but not limited to natural disasters, bushfires, cyberattacks, systemic internet network failures, or government-mandated restrictions. If such an event delays performance for more than 30 days, either party may terminate the affected service engagement upon written notice.
